BY-LAWS
ARTICLE ONE
1.1 NAME. The name of this organization shall be the Brown County Partnership
1.2 ABBREVIATION The recognized abbreviation shall be BCP
ARTICLE TWO
2.1 MISSION Raising awareness for potential business disruption while sharing information and resources among both public and private entities.
ARTICLE THREE
3.1 PURPOSE Bringing together key public and private sector stakeholders to identify mutual concerns and develop strategies to make communities safer.
3.2 OJECTIVES The objectives of the BCP shall be:
(a) Create working relationships with Private and Public organizations to facilitate, plan, and respond jointly to emergency situations.
(b) To lessen the burdens of government by encouraging and facilitating collaborative efforts among public, private, and non-profit organizations in Brown County.
(c) To approach businesses yearly to either review, create, or test a business resumption plan in Brown County.
ARTICLE FOUR
4.1 COMPOSTION OF EXECUTIVE COMMITTEE The BCP executive committee shall consist of 5 members, a Chairman, vice Chairman, Secretary, Custodian of the Records and a Member at large (to be defined). The membership will consist of a proportionate balance of public side and private side representation. Any person, including individuals, associations, organizations, or agencies who subscribe to the basic purpose of the BCP may become a partner.
4.2 VOTING AND QUORUM Each member shall have one vote as well as any additional persons identified as partners will have a vote. A quorum shall consist of 3 or more board members present. Procedures and all other matters shall subscribe to Roberts Rules.
4.3 MEETINGS Meetings shall be held 3 times a year in February, May, and November with the kick off meeting in February. At the kick off meeting goals and objectives will be review from last year and revised or promoted for the coming year. Special meetings may be held upon the request of the chairperson or upon written request/email of three partners.
ARTICLE FIVE
5.1 OFFICERS The membership of the BCP shall elect a chairperson, a vice chairperson, and a secretary who are elected by a simple majority of the partners. The Emergency Management Coordinator will serve as the Custodian of the Records for the BCP.
5.2 ELECTIONS OF OFFICERS The officers of the BCP executive committee shall hold office for one year. The officers shall be elected at the November meeting of the board. They will be elected by a simple majority of the partners present at the meeting.
5.3 VACANCIES If any office becomes vacant during the term of office for any reason, the office shall be filled by a majority vote of the partners. The appointed officer shall serve the remaining term of that office until the next regularly schedule election for that office.
5.4 NOMINATIONS The BCP will appoint officers based on willingness of candidate to be apart of the board prior to the November meeting. The partners will then have a slate of candidates to vote for before the elections are held in November.
ARTICLE SIX
6.1 CHAIRPERSON. The Chairperson shall:
(a) Be responsible for the administration of all the affairs of the BCP executive committee
(b) Have the authority to call regular and special meetings of the BCP executive committee
(c) Preside over all meeting of the BCP board
(d) Preserve the order and enforce the by-laws
(e) Perform such other duties as customarily pertain to the office of the chairperson.
6.2 VICE-CHAIRPERSON. The Vice-Chairperson shall:
(a) Perform such duties as the Chairperson may delegate
(b) Perform the duties of Chairperson in the absence of the Chairperson
(c) Assume the office of the Chairperson, with all its privileges and responsibilities, until the office is otherwise filled should the Chairperson vacate that office for any reason
(d) Be the BCP Board parliamentarian
6.3 SECRETARY. The Secretary of the Board shall:
(a) Keep and distribute the minutes of all meetings.
6.4 CUSTODIAN OF THE RECORDS. The Custodian of the Records shall:
(a) Be the custodian of records of the BCP
(b) Maintain accurate and timely rosters of the members of the board and of any standing or appointed committees
(c) File all correspondence received and forward copies to the Chairperson
(d) Secure meeting locations for all meetings
(e) Maintain and update the Bylaws.
ARTICLE SEVEN
AMENDMENTS
7.2 AMENDMENTS. Any BCP member may propose amendments to the by-laws. The by-laws may be amended by a simple majority vote at any duly noticed meeting. All proposed amendments must be presented to all BCP board members and partners in writing a minimum of five days prior to the date of the meeting/vote.
